Rita Finance and Leasing Limited, originally established under the Companies' Act, 1956 as Rita Holdings Limited on May 19, 1981, underwent a significant transformation. It obtained registration as a Non-Banking Financial Company from the Reserve Bank of India on August 10, 1998.
In 2018, the company received approval from its members during an Extraordinary General Meeting on January 12, 2017, following the notice of EGM approved at the Board Meeting held on December 15, 2016. Subsequently, as a listed Public Limited NBFC, it obtained approval on October 18, 2017, leading to the allotment of 17,00,000 equity shares of Rs. 10/- each during the Board Meeting on December 11, 2017.
In 2019, another Extraordinary General Meeting on March 12, 2019, with the notice of EGM approved at the Board Meeting on February 11, 2019, resulted in the approval for the issuance of 7,00,000 Bonus Shares. These bonus shares were distributed at a ratio of 1 new fully paid-up Equity Share for every 4 existing fully paid-up Equity Shares of the Company.
Moving forward to 2021, the Company allotted an additional 65,00,000 equity shares of Rs. 10/- each, contingent upon the approval of members at the Annual General Meeting held on August 19, 2021. Share warrants were issued and subsequently converted into equity shares on a preferential basis to the shareholders. As of March 31, 2021, the paid-up share capital of the Company stood at Rs. 10,00,00,000/-, divided into 100,00,000 equity shares of Rs. 10/- each.
