As per the agreement reached late on Tuesday night, the 127-year-old group will be split into two entities - one led by Adi Godrej and his brother Nadir and the other by their cousins ​​Jamshed and Smita.

The former will lead the Godrej Industries Group, which comprises listed companies including Godrej Industries Ltd, Godrej Consumer Products Ltd, Godrej Property Ltd, Godrej Agrovet Ltd and Astec Lifesciences Ltd. While both groups will continue to use the Godrej brand name, both have signed a six-year non-compete agreement that will restrict them from entering each other's domains. According to sources and regulatory filings, after the expiry of the non-compete period, they can venture into other's domain but cannot use the Godrej name for the same.

Sources said that this division has been done by transfer of shares and without any consideration.

Sources said G&B will have sole construction rights on the entire land bank, while Godrej Properties of the other faction will have marketing rights, with Godrej Properties having no construction rights.

It owns 3,400 acres of land in Mumbai, including a 3,000-acre parcel in Vikhroli, Mumbai. According to some estimates, the development potential of Vikhroli land is more than Rs 1 lakh crore.It can develop 1,000 acres of land, while about 1,75 acres of land is covered with mangroves and is a destination for rare plants and birds. About 300 acres of land has been captured.

The Vikhroli property was purchased by group co-founder Pirojsha in a public auction in 1941–42 from the Bombay High Court receiver. It was previously owned by Framji Banaji, a Parsi merchant, who purchased it from the East India Company in the 1830s.

Lawyer-turned-serial entrepreneur Ardeshir Godrej and his brother succeeded in manufacturing locks after a failed venture into hand-made medica devices in 1989.

Ardeshir had no children, and so the group was inherited by his younger brother Pirojsha.Pirojsha had four children – Sohrab, Dosa, Burjor and Naval.

Over the years, leadership of the group passed to the children of Burjor (Adi N Nadir) and Nawal (Jamshed and Smita), as Sohrab had no children, while Dosa had a child, Rishad, who had no children.

Nadir Godrej, 73, will take over as chairman of Godrej Industries Group (GIG). Adi Godrej's son Pirojsha Godrej will be named chairman of GIG in August 2026, succeeding Nadir Godrej.
